1. About these Terms
These Terms of Service (“Terms”) govern your use of the CuraFlow platform (the “Service”) provided by Cura Compliance UK Limited, registered in England & Wales (company no. 15946204) (“we”, “us”, “our”). By creating an account or using the Service you agree to be bound by these Terms.
2. Account creation and eligibility
You must be at least 18 years old and authorised to enter into contracts on behalf of the organisation you represent. You are responsible for keeping your sign-in credentials secure and for all activity under your account.
3. Subscription and payment
The Service is offered as a one-off library purchase (from £495, depending on your service type, providing permanent download access to your chosen service-type library) and optional monthly subscription plans that add the compliance dashboard, team seats and ongoing policy updates.
Where you opt into a free trial, you will not be charged until the trial period ends. You may cancel at any time during the trial via the Stripe Customer Portal. After the trial, your chosen plan will renew automatically until cancelled.
Payment is processed by Stripe Payments Europe, Ltd. We do not store or process your card details directly.
4. Licence and permitted use
The policy documents, templates and related materials in each library (the “Materials”) are the intellectual property of Cura Compliance UK Limited (company no. 15946204) and are protected by copyright under the Copyright, Designs and Patents Act 1988 and other applicable laws.
On purchase of a library, Cura Compliance UK Limited grants you a non-exclusive, non-transferable, revocable licence to use and adapt the Materials solely for the internal compliance purposes of the single registered organisation named on your account. Ownership of the Materials is not transferred to you.
You must not, whether for payment or free of charge:
- sell, resell, sub-licence, rent, lend or otherwise commercialise the Materials;
- copy, share, distribute, publish, or make the Materials available to any person or organisation outside your own organisation;
- repurpose, rebrand, or incorporate the Materials into any product, template set, library or service offered to others;
- use the Materials to provide consultancy, to build a competing policy library, or for any purpose other than operating your own registered service.
Any use outside this licence is a breach of these Terms and an infringement of Cura Compliance UK Limited's copyright. We reserve all rights and may pursue all remedies available in law, including injunctions, damages, an account of profits and recovery of legal costs, and may pursue infringement through the courts.
The Materials are provided as templates and starting points. They do not constitute legal advice. You are responsible for ensuring your final policies are fit for your service and compliant with applicable law and regulator expectations (CQC, Ofsted or others).
5. Acceptable use
You agree not to:
- attempt to gain unauthorised access to any part of the Service or other users' data;
- interfere with the Service or its underlying infrastructure;
- scrape or systematically download content;
- upload malicious code or content;
- use the Service to process special-category personal data of service users without lawful basis and appropriate safeguards.
6. Compliance tracking
The compliance dashboard records staff acknowledgements of policies for audit purposes. You are responsible for managing your staff accounts, distributing policies appropriately, and acting on stale or missing acknowledgements. Acknowledgement records are evidence of access, not of formal training competence.
7. Intellectual property
All rights in the Service and the policy Materials (excluding content you provide) are owned by Cura Compliance UK Limited (company no. 15946204) and are protected by copyright and other intellectual-property laws. You retain ownership of your company data, logo and any customisations you upload. You grant us a limited licence to use that data solely to provide the Service.
8. Liability
To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with the Service is limited to the fees paid by you in the 12 months preceding the event giving rise to the claim.
We do not exclude or limit liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.
9. Termination
You may cancel your subscription at any time via the Stripe Customer Portal. We may suspend or terminate accounts that breach these Terms. On termination you will lose access to the compliance dashboard; your library download right (if purchased separately as a one-off) is not affected by subscription termination.
10. Changes to the Service or Terms
We may update the Service and these Terms from time to time. For material changes we will give you reasonable notice via email or in-app notice. Continued use after the effective date constitutes acceptance.
11. Governing law
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the English courts.
